This part analyses the differently developments of MBO in China and foreign countries and compares the background and motivation of its emergence, its legal system, its financing channel and the role of the governments in China and foreign countries.

• 笔者在本部分分析了管理层收购制度在中外不同的发展历程，并比较了中外管理层收购在产生背景、动机、法律环境、融资渠道、政府角色等方面的区别，认为我国在法律规制方面应当结合我国的实际情况对管理层收购进行规制。
